Board Resolution Apostille for Overseas Use
A board resolution apostille is what lets a foreign bank, registry or court rely on a decision taken by your company's directors in India. Unlike a certificate of incorporation, the resolution is not issued by the Registrar of Companies. Your own company prepares it as a certified extract of board minutes under the Companies Act 2013, which is why its wording and signatures need extra care before it reaches a chamber or the MEA.

Can a board resolution be apostilled in India? Yes. The company prints a certified true copy of the resolution on its letterhead, signed by a director or the company secretary, and a notary attests it. A recognised Chamber of Commerce then authenticates it and the MEA issues the board resolution apostille for Hague countries. UAE, Qatar, Kuwait and China need MEA attestation followed by embassy legalization.
A document your company writes itself
The board of directors exercises the company's powers under Section 179 of the Companies Act 2013. When the board decides something at a meeting, the decision is recorded in the minutes. What you send abroad is a certified extract of that record, typed on company letterhead and signed as a true copy.
Because no government office issues it, the foreign party has to trust your signatory. The chamber, the notary and the MEA together build that trust step by step. A clear, complete extract makes every step easier.

Typical reasons a resolution goes abroad
- Authorising a director or employee to sign contracts, tenders or registration forms in another country.
- Appointing a local agent or distributor, often together with an agency agreement.
- Approving the opening of a branch, subsidiary or bank account overseas.
- Approving a power of attorney in favour of a foreign representative.
- Approving product registration with a foreign regulator.
Foreign offices usually check the resolution against the articles of association to confirm the board had power to decide.
Drafting an extract that passes scrutiny
A well-drafted extract answers the reader's questions without extra letters. Include:
- Full company name, CIN and registered office as on the ROC record.
- Date, time and place of the board meeting.
- The exact resolution text, naming the authorised person with designation and passport number if the foreign office needs it.
- The country and purpose the authority covers.
- A certification line stating it is a certified true copy, signed by a director or the company secretary, with name, designation and DIN or membership number, plus the company stamp.
Names must match the passport of the authorised person exactly. Spelling differences are one of the most common reasons for rejection abroad.

Write the authority narrowly and clearly
Foreign officials are cautious about open-ended authority. A resolution that says a person may "do all acts on behalf of the company worldwide" can raise more questions than it answers. State the country, the office or counterparty, and the specific acts covered, such as signing a distribution agreement, registering products or opening a bank account.
If the authority should end on a certain date, say so. If two signatories must act jointly, say that too. Some registries also ask for a specimen signature of the authorised person, which can be added below the resolution text.
When the same person needs authority in several countries, you can either pass one resolution listing all of them or separate resolutions per country. Separate extracts are simpler to legalize because each country follows its own route.
Does the resolution need to be filed with the ROC first?
Section 117 of the Companies Act 2013 requires certain resolutions to be filed with the Registrar in Form MGT-14 within 30 days. These include board resolutions on specific matters under Section 179(3), such as borrowing, investing funds, approving financial statements and approving mergers. Private companies have some exemptions, so check with your company secretary.
A resolution that simply authorises a person to sign documents abroad usually does not fall in that list. Legalization does not depend on ROC filing. If your resolution does need filing, make sure it has been filed, since a foreign party may ask for proof.
Documents that usually travel with it
A resolution alone rarely satisfies a foreign registry. They want to see that the company exists and that the board had the power it used. So the resolution normally goes with the certificate of incorporation, the memorandum and the articles. Processing them together keeps names, CIN and signatories consistent, and a board resolution apostille on its own can be refused if the supporting set is missing.
Board resolution apostille: the three stamps
- Notary. A notary attests the signature of the director or company secretary on the extract.
- Chamber of Commerce. A recognised chamber, for example FICCI, ASSOCHAM, PHD Chamber or the Indian Chamber of Commerce, authenticates the document.
- MEA apostille. The MEA CPV Division applies the apostille through its authorised outsourced centres. The fee is Rs 50 per document.
This route covers Hague countries such as the UK, USA, Canada, Australia, Japan, South Korea, Saudi Arabia, Oman, Bahrain, Turkey, Vietnam and most of Europe apart from Germany. See MEA apostille in India for how the ministry works.
Countries that need embassy legalization
For the UAE the chain is chamber, MEA attestation, UAE Embassy in New Delhi and finally UAE MOFA in the UAE. Qatar, Kuwait, Egypt, Iraq, Jordan, Lebanon, Libya, Sudan and Yemen need chamber, MEA attestation and their embassy.
China needs a red-sticker notary first, then the chamber, MEA attestation and the Chinese Embassy. Germany does not legalize Indian documents and may verify them through its embassy instead. Our embassy attestation page has more detail.

Board Resolution apostille FAQs
Who should sign the certified extract?
A director or the company secretary, ideally not the person the resolution authorises. Include their name, designation and DIN or membership number.
Do I need a separate original for each country?
Yes. Each original gets its own stamps, so prepare one signed extract per destination.
Can the resolution be in Arabic for a UAE authority?
Prepare it in English and we can arrange a certified Arabic translation.
Will an apostilled board resolution work in Dubai?
No. The UAE needs MEA attestation, UAE Embassy legalization and UAE MOFA attestation instead of a board resolution apostille.
Does the MEA check whether the board meeting really took place?
No. The MEA verifies only the authenticating officer's signature. The company is responsible for the truth of the resolution.
Can a resolution passed by circulation be legalized?
A resolution passed by circulation can be certified and legalized in the same way. Make the certification line state how it was passed.
Can a resolution from an earlier year still be used?
It can, if the authority it grants is still valid and the receiving office accepts it. Many offices prefer a recent resolution, so ask before you rely on an old one.
